These Terms of Service (“Terms”) govern your access to and use of the website, services, and offerings provided by NextTide Logistics LLC (“NextTide,” “we,” “us,” or “our”). By accessing our website or engaging our services, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not access our website or use our services.
1. Services
NextTide Logistics LLC provides performance marketing services, including but not limited to paid media buying, creative strategy, analytics and attribution, search engine optimization, landing page design, and growth consulting. The specific scope, deliverables, and terms of any engagement will be outlined in a separate service agreement or statement of work between NextTide Logistics LLC and the client.
2. Eligibility
You must be at least 18 years of age and have the legal authority to enter into binding agreements to use our services. By using our website or engaging our services, you represent and warrant that you meet these requirements.
3. Account and Booking
When you book a consultation or submit information through our website, you agree to provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.
4. Client Obligations
When engaging NextTide Logistics LLC for services, you agree to:
- Provide timely access to advertising accounts, analytics platforms, and other tools necessary for service delivery
- Provide accurate and complete business information, including product details, brand guidelines, and target audience data
- Review and approve campaigns, creatives, and strategies in a timely manner
- Maintain sufficient advertising budgets as agreed upon in the service agreement
- Comply with all applicable advertising platform policies and regulations
- Ensure that all products, services, and claims promoted through our campaigns are lawful and truthful
5. Fees and Payment
Fees for our services will be outlined in the applicable service agreement. Unless otherwise specified:
- Management fees are billed monthly in advance
- Payment is due within 15 days of invoice date
- Advertising spend budgets are separate from management fees and are billed directly by the respective advertising platforms
- Late payments may incur a fee of 1.5% per month on the outstanding balance
- All fees are non-refundable unless otherwise stated in the service agreement
6. Intellectual Property
Our Property
All content on this website — including text, graphics, logos, images, and software — is the property of NextTide Logistics LLC or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.
Client Materials
You retain ownership of all materials, content, and intellectual property you provide to us for use in campaigns. You grant NextTide Logistics LLC a non-exclusive, royalty-free license to use such materials solely for the purpose of delivering the agreed-upon services.
Work Product
Unless otherwise agreed in writing, custom creative assets, ad copy, landing pages, and other deliverables produced by NextTide Logistics LLC during the engagement become the property of the client upon full payment. Our proprietary frameworks, methodologies, tools, and processes remain the property of NextTide Logistics LLC.
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes, but is not limited to, business strategies, financial data, advertising performance metrics, customer data, and trade secrets. Confidentiality obligations survive termination of the service agreement for a period of two (2) years.
8. Disclaimers and Limitations
No Guaranteed Results
While NextTide Logistics LLC employs industry best practices and data-driven strategies, we do not guarantee specific results, including but not limited to return on ad spend (ROAS), revenue targets, conversion rates, or traffic volumes. Marketing outcomes depend on numerous factors beyond our control, including market conditions, product quality, competition, and platform algorithm changes.
Limitation of Liability
To the fullest extent permitted by law, NextTide Logistics LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from or related to your use of our services or website. Our total liability for any claim shall not exceed the total fees paid by you to NextTide Logistics LLC in the six (6) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless NextTide Logistics LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your use of our services, or any violation of applicable laws or third-party rights.
10. Termination
Either party may terminate the service engagement as outlined in the applicable service agreement. In the absence of a specific agreement:
- Either party may terminate with 30 days' written notice
- NextTide Logistics LLC may terminate immediately if the client breaches these Terms or the service agreement
- Upon termination, all outstanding fees become immediately due and payable
- We will provide reasonable transition support, including transfer of advertising account access and campaign data
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Fulton County, Georgia.
12. Modifications
NextTide Logistics LLC reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised “Last Updated” date. Your continued use of our website or services after any changes constitutes your acceptance of the modified Terms.
13. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
14. Entire Agreement
These Terms, together with any applicable service agreement, constitute the entire agreement between you and NextTide Logistics LLC regarding the subject matter herein and supersede all prior agreements and understandings.
